1. Who we are & acceptance of these terms
ApeXhit LLC ("ApeXhit," "we," "us," or "our") is a Florida limited liability company (Articles of Organization filed and effective June 26, 2026) operating as a software development and digital agency, serving clients in the United States and the Philippines.
These Terms of Service ("Terms") govern your access to and use of https://apexhit.org (the "Site"), the installable Progressive Web App version of the Site, and any services, features, showcases, or ordering tools made available on the Site (collectively, the "Services"). By visiting the Site, installing the PWA, submitting the contact form, or ordering a good or service through the Site, you agree to be bound by these Terms. If you do not agree, do not use the Services.
We may update these Terms from time to time as described in Section 14. Continued use of the Services after an update constitutes acceptance of the revised Terms.
2. Description of the Services
The Site is primarily an informational and marketing hub. Through it we:
- Showcase software products built by ApeXhit, including point-of-sale systems, financial and productivity apps (such as the ApeXhit Financial Health Budget app), a digital business card app, a personal link manager, and other tools — each of which is a separate application, typically with its own account system, Terms of Service, Privacy Policy, and (where applicable) End User License Agreement.
- Showcase client and partner websites we have designed or built (a "Website Showcase"), including live links, screenshots, and branding of those businesses, displayed with permission.
- Provide an interactive app/website directory ("waffle" launcher) that links out to live ApeXhit apps and featured business websites, refreshed as new apps and sites go live.
- Allow visitors to contact us, request custom software development or digital agency work, and — where offered — order physical goods such as printed business cards linked to the ApeXhit Digital Business Card (DBC) app.
- Allow installation of the Site as a Progressive Web App (PWA) on supported desktop and mobile devices for quicker, app-like access.
3. Third-party apps, websites, and links
Many features on the Site link out to other applications and domains operated by us (e.g., an app subdomain or a separate Vercel deployment) or by third parties (e.g., client websites in the Website Showcase, YouTube, Discord, and Facebook). Each linked ApeXhit application has its own governing terms and privacy policy, which apply once you leave the Site to use that application. We are not responsible for the content, policies, or practices of independent client or third-party websites we merely showcase or link to, beyond the accuracy of the showcase information itself.
Live counts, statistics, and app/website listings displayed on the Site (including any "apps live" counters) are generated from our own product records and are refreshed periodically; brief delays between an app going live and it appearing in a count or listing may occur.
4. Eligibility and acceptable use
You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Services. By using the Services you represent that you meet this requirement, or that you are doing so with the involvement of a parent or guardian.
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
- Attempt to gain unauthorized access to the Site, its source code, servers, or any connected system or network, including through scraping, credential stuffing, or automated bulk requests.
- Interfere with or disrupt the Services, introduce malware, or attempt to reverse engineer, decompile, or extract source code from the Site or its installable PWA except to the extent such restriction is prohibited by applicable law.
- Copy, reproduce, resell, or misrepresent our branding, logos (including the ApeXhit cyborg mark), screenshots, or showcased client/app assets as your own.
- Submit false, misleading, abusive, or fraudulent information through our contact form or any ordering feature.
5. Intellectual property
All Site content — including but not limited to the ApeXhit name and cyborg logo, page design, animations, copy, app screenshots curated for the showcase, and underlying source code — is owned by ApeXhit LLC or licensed to us, and is protected by U.S. and international intellectual property laws. Featured client website names, logos, and themes displayed in the Website Showcase remain the property of their respective owners and are used with permission to illustrate our work.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own personal or business evaluation purposes. No other rights are granted.
6. Contact submissions and user content
Any information you submit through our contact form (such as your name, email, and message) is provided voluntarily so that we can respond to your inquiry. See our Privacy Policy for details on how we handle this information. Do not submit confidential information you are not authorized to share, or content that infringes another party's rights.
7. Orders for goods and paid services
Where the Site offers ordering of physical goods (for example, printed business cards linked to the ApeXhit DBC app) or paid engagements (custom development, digital agency work), additional order-specific terms (pricing, turnaround, specifications) will be presented to you at the time of order and are incorporated into these Terms by reference. Payment processing for any such order is handled by a third-party payment processor (e.g., Lemon Squeezy or a comparable provider); your payment information is subject to that processor's own terms and privacy practices.
Subscriptions to individual ApeXhit applications (for example, a paid tier of the Financial Health Budget app) are billed and governed separately by that application's own terms, and are not billed through this Site. Refunds for any purchase are governed by our Refund Policy.
8. Progressive Web App installation
Installing the Site as a PWA adds a shortcut and offline-capable shell to your device using standard web platform features (a web app manifest and service worker). Installation does not grant you any ownership interest in the Site, and we may update, change, or discontinue PWA functionality at any time. See our EULA for the software license terms that apply to the installed application.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that statistics, counts, or showcased data will be free of momentary delay or inaccuracy.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEXHIT LLC AND ITS MEMBERS, OFFICERS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US, IF ANY, FOR THE SPECIFIC ORDER OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless ApeXhit LLC and its members, officers, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Services or your violation of these Terms.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may stop using the Services and uninstall the PWA at any time.
13. Governing law & dispute resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved informally by contacting us at apexhit00@gmail.com. If a dispute cannot be resolved informally within thirty (30) days, it shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction and venue there.
14. Changes to these Terms
We may revise these Terms from time to time. The "Effective date" at the top of our Legal Center reflects the most recent revision. Material changes will be reflected by updating that date; your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
